Replit Extensions Store - User Terms

Your use of the Replit Extensions Store and any Extension is governed by Replit’s Terms of Service and these Extensions Terms. The Developer of an Extension (“Developer”) may offer additional terms which will also apply to your use of an Extension. If you are an Extension Developer, your access terms are in the Extensions Store - Developer Terms.

Access and Use of Extensions

You may access and use Replit Extensions through the Replit Extensions Store.

Some Extensions may require a payment in Cycles, which are charged to your account when an Extension is installed by you. For those Extensions, Cycles will be deducted from your account. If your account has insufficient Cycles to cover amounts due, then Replit or Developer may suspend your access to the Extension until such amounts are paid in full.

Extension Responsibility

The Developer of an Extension is solely responsible for that Extension, including, but not limited to, user support, the privacy and security of data processed by the Developer’s Extension, and any claims that you or any other party may have relating to the Developer’s Extension or your use.

Content

You are solely responsible for any data you provide through the use of an Extension. You agree that you are solely responsible for (and that Developer and Replit have no responsibility to you or to any third party for) any Content that you or your users create, submit, transmit or display while using the Extension, and for the consequences of your actions (including any loss or damage which Developer or Replit may suffer) by doing so. You agree that Developer and Replit have no responsibility or liability for the security, backup, deletion or failure to store any content and other communications maintained or transmitted through use of the Extension or Extensions Store.

Removal of Content

Developer and Replit reserve the right to remove any or all content from Extensions. You agree to immediately take down any content that violates the Replit Terms of Service, including pursuant to a take-down request from Developer or Replit. In the event that you elect not to comply with a request from Developer or Replit to take down such content, Developer and Replit reserve the right to directly take down such content or to disable Extension availability to you.

Reservation of Rights

You acknowledge and agree that Developer (or Developer's licensors, which may include Replit) own legal right, title and interest in and to the Extension, including any intellectual property rights which subsist in the Extension (whether those rights happen to be registered or not, and wherever in the world those rights may exist). You acknowledge and agree that Replit owns all legal right, title and interest in and to the Extensions Store and Services, including any intellectual property rights which subsist in the Extensions Store (whether those rights happen to be registered or not, and wherever in the world those rights may exist). No rights are granted to you hereunder other than as expressly set forth herein.

Limited License from Developer

Subject to these Terms, Developer hereby grants to you a limited license to use the applicable Extension as provided to you by Developer.

License and Permission from You

By using any Extension you grant to Developer all necessary rights to enable Developer and Replit to provide access to and use of the Extension.

No warranties

EXCEPT TO THE EXTENT OTHERWISE EXPRESSLY SET FORTH HEREIN, DEVELOPER MAKES NO WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, AND SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. THE EXTENSIONS AND REPLIT EXTENSION STORE ARE PROVIDED "AS IS," AND “AS AVAILABLE” EXCLUSIVE OF ANY WARRANTY WHATSOEVER.

No liability

In no event shall Developer be liable for any direct, indirect, incidental, special, consequential or punitive damages, including without limitation, any loss whatsoever, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Extensions or any unauthorized access, use, or alteration of your Content, whether based on warranty, contract, tort (including negligence) or any other legal theory, and whether or not Developer has been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose. Replit further reserves the right to modify, suspend, or discontinue any part of the Extensions Store, including individual Extensions, at any time with or without notice to you, and Replit will not be liable to you or to any third party should it exercise such rights.

Replit Extensions Store - Developer Terms

By using the Replit Extensions Store to distribute an Extension to Replit’s users, you (“Developer”) agree to be bound by Replit’s Terms of Service and the following Developer Terms. If you are a user of Extensions, your access terms are subject to the Extensions Store - User Terms.

Access

Replit will make available the Extensions Store and the Replit application programming interface(s) (“API”) through which Extensions interoperate with the Replit Workspace, individual Repls, and user data. To distribute an Extension, Developer will submit the Extension and accompanying user and pricing information via the Replit Extensions Store for review by Replit and, if acceptable, distribution to users.

Distribution and Support

Distributor Appointment

Developer appoints Replit as an authorized distributor to distribute or license Developer’s Extension to Replit users in connection with the Replit Extensions Store.

Price Changes

Developer may revise Developer’s Extension price at any time with advance notice to Replit and when the updated price change has been reflected in the Replit Extensions Store.

Extension Support for Users

Developer will be responsible for performing all user support for the Developer’s Extension, including providing a support email address.

Marketing

Replit may engage in marketing activities to promote the Developer’s Extension on the Store, Replit Services, or elsewhere. Developer grants Replit a limited, nonexclusive, royalty-free license under these Terms to market Developer’s Extension.

Governing Terms

Developer accepts that users of Developer’s Extension agree to the User Terms which govern the user’s access to and use of the Developer’s Extension.

Subscription Revenue Share

For any Developer Extension that generates revenue pursuant to these Terms, Replit shall pay to Developer a specified portion of the Net Subscription Revenues (defined below) it receives (the "Revenue Share"). Replit may change the percentage of the Revenue Share upon notice to Developer. "Net Subscription Revenues" means all revenues actually received by Replit for the sale of subscriptions attributable to the Developer’s Extension less (i) the actual costs incurred by Replit in selling the Extension, including but not limited to transaction costs related to credit card processing; (ii) any rebates, credits, chargebacks, refunds or similar offsets actually issued by Replit for the Extension and (iii) any taxes that Replit is required to collect in connection with the sale of the Extension.

Payments

Replit will pay the Revenue Share due to Developer in Cycles within thirty (30) days after the end of the calendar month in which such revenues are received from a User by Replit.

Reports

Replit will make available to Developer a report itemizing the Net Subscription Revenues.

Security

Developer will maintain appropriate administrative, physical, and technical safeguards for the protection of the security, confidentiality and integrity of user data submitted, accessed or processed by the Developer’s Extension. To the extent the Developer’s Extension transmits or processes user data outside of Replit’s systems, Developer represents and warrants that it will notify all Customers prior to their use that user data will be transmitted or processed outside of Replit’s system and to that extent Replit is not responsible for the privacy, security, integrity, or data loss of that user data.

Termination

Replit may terminate Developer’s access to the Extensions Store for violation of the Terms of Service or these Developer Terms. Replit may terminate access to or discontinue the Extensions Store at any time.

Developer may remove its Extension from the Extension Store through the Developer’s Replit account.

Relationship of Parties

These Terms do not create a partnership, franchise, joint venture, agency, fiduciary or employment relationship between Developer and Replit. Neither will represent that it has any authority to assume or create any obligation, express or implied, on behalf of the other, nor to represent the other as agent, employee, franchisee, or in any other capacity. There are no third-party beneficiaries to these Terms. Developer shall not make any proposals, promises, warranties, guarantees, or representations on Replit’s behalf or in Replit’s name.
